1. Acceptance of Terms

By accessing or using the Argos IoT monitoring platform ("Service") provided by Sequence Engineering LLC ("Company," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms. The Service is intended for users who are at least 18 years of age. By using the Service, you represent that you are at least 18 years old.

2. Description of Service

Argos is an IoT monitoring platform designed for healthcare facilities to monitor medical imaging equipment, including MRI and CT scanners. The Service provides:

  • Real-time temperature and environmental monitoring
  • Power and electrical system monitoring
  • Equipment status alerts via email and SMS text messages
  • Historical data analysis and reporting
  • Integration with facility management systems

The Service is intended for use by healthcare facility administrators, service engineers, and facility managers responsible for maintaining medical imaging equipment.

3. User Accounts and Responsibilities

To use the Service, you must create an account and provide accurate, complete information. You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized use of your account
  • Ensuring that your use complies with all applicable laws and regulations
  • Maintaining accurate and up-to-date contact information

We reserve the right to suspend or terminate accounts that violate these Terms or that have been inactive for more than twelve (12) months.

4. SMS/Text Message Terms

By providing your mobile phone number and enabling SMS alerts, you expressly consent to receive transactional text messages from Argos regarding equipment alerts, system notifications, and service-related communications.

Important SMS Information:

  • Message Frequency: Message frequency varies and depends on how many monitored sites you are listed as a contact for and which alert severities you choose to receive by SMS. Recipients who cover multiple sites, or who opt into both Warning and Critical alerts, receive more messages than those receiving Critical-only alerts for a single site. Volume commonly ranges from a few messages to 50 or more per month, and may be higher during active equipment issues or maintenance periods.
  • Message and Data Rates: Standard message and data rates from your wireless carrier may apply to messages sent to or received from Argos.
  • Opt-Out: You may opt out of SMS alerts at any time by replying STOP to any message. You will receive a confirmation message and will no longer receive SMS alerts unless you re-enable them in your account settings.
  • Help: For assistance with SMS alerts, reply HELP to any message or contact us at csr@seqengineering.com.
  • Carrier Liability: Wireless carriers are not liable for delayed or undelivered messages.

SMS alerts are provided as a convenience and should not be relied upon as the sole method of receiving critical equipment notifications. We recommend configuring multiple alert channels (email and SMS) for important alerts.

5. Data and Privacy

Your use of the Service is subject to our Privacy Policy, which describes how we collect, use, and protect your information. By using the Service, you consent to our collection and use of data as described in the Privacy Policy. Equipment telemetry data collected through the Service remains the property of the facility or organization that operates the monitored equipment.

6. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable regulations
  • Attempt to gain unauthorized access to any part of the Service or related systems
  • Interfere with or disrupt the integrity or performance of the Service
  • Transmit any malicious code, viruses, or harmful data through the Service
  • Reverse engineer, decompile, or disassemble any part of the Service
  • Share account credentials or allow unauthorized persons to access the Service
  • Use the Service in a manner that could damage, disable, or impair our infrastructure

7. Intellectual Property

The Service, including all software, designs, text, graphics, and other content, is owned by Sequence Engineering LLC and is protected by copyright, trademark, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to access and use the Service for its intended purpose. This license does not include the right to modify, distribute, or create derivative works based on the Service.

8. Indemnification

You agree to indemnify, defend, and hold harmless Sequence Engineering LLC and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with: (a) your access to or use of the Service; (b) your violation of these Terms; (c) your violation of any third-party rights, including intellectual property rights; or (d) any claim that your use of the Service caused damage to a third party.

9. Disclaimers and Limitation of Liability

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, or completely secure. The Service is a monitoring tool and does not replace proper equipment maintenance, safety protocols, or professional judgment.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SEQUENCE ENGINEERING LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR EQUIPMENT DAMAGE, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

We shall not be liable for any failure or delay in performing our obligations where such failure or delay results from circumstances beyond our reasonable control, including but not limited to natural disasters, acts of war or terrorism, power outages, internet service provider failures, cyber attacks, or government actions.

The limitations in this section do not apply to liability arising from our gross negligence or willful misconduct.

10. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. Upon termination, your right to use the Service ceases immediately. You may terminate your account at any time by contacting us. Provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, and limitations of liability.

11. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and updating the "Last Updated" date. Your continued use of the Service after such changes constitutes acceptance of the modified Terms. We encourage you to review these Terms periodically.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. Any disputes arising from these Terms or your use of the Service shall be resolved in the state or federal courts located in Delaware.

13. General Provisions

Severability: If any provision of these Terms is held to be invalid or unenforceable, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, and the remaining provisions shall continue in full force and effect.

Entire Agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and Sequence Engineering LLC regarding the Service and supersede all prior agreements and understandings.

Assignment: You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms without restriction.

Waiver: Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
